Introduction

Welcome to StartAppLab. These Terms and Conditions ("Terms") govern your use of our command-line interface tool (the "Software") operated by StartAppLab ("we," "us," or "our").

By using or accessing our Software, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Software.

StartAppLab is a software tool that lets users launch a complete mobile app, web app, landing site, and backend API with one command. It's designed for developers and entrepreneurs who want to skip the boilerplate and start building their actual product faster.

This Agreement takes effect on the date on which you first use the StartAppLab Software.

License

StartAppLab grants you a non-exclusive, non-transferable license to use the Software upon your purchase of a license. This license allows you to generate unlimited projects and modify the code in any way.

The StartAppLab Software License facilitates the acquisition of software through a single purchase, granting users unrestricted access to its comprehensive functionalities. Tailored for developers, entrepreneurs, and businesses, StartAppLab empowers users to create complete application ecosystems with minimal effort.

The Starter plan includes all boilerplate templates and lifetime updates to those templates. The Premium plan adds additional tools and community access. Lifetime updates apply to the boilerplate only and do not guarantee specific feature support in the future.

"Lifetime updates" refers to updates made available during the commercially reasonable lifespan of the Software, at StartAppLab's sole discretion. While we intend to provide updates for an extended period, we do not guarantee perpetual updates if:

• The underlying technologies become obsolete or are fundamentally changed by their providers
• Continuing to update the Software becomes commercially impractical
• The Software reaches end-of-life status, which will be announced with reasonable notice
• Force majeure events or other circumstances beyond our reasonable control prevent updates

In such cases, the Software will continue to function as-is, and you retain full rights to use and modify the code you've already received, but no further updates will be provided. We commit to providing at least six (6) months notice before discontinuing any significant updates or support, when feasible.

This license entails a straightforward arrangement, exempting users from recurring fees or subscriptions. However, we retain the right to terminate the license without conditions or prerequisites in cases of Terms violation or misuse of the Software.

You may not redistribute, sell, lease, sublicense, or provide the Software to any third party. Each license is valid for use by a single individual or entity.

Premium Account Access

For Premium plan users, StartAppLab provides access to additional development tools through an authentication system. By creating an account and accessing these premium features, you agree to:

• Provide accurate and complete information when creating your account
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or other security breaches
• Use the premium development tools only in accordance with these Terms

StartAppLab reserves the right to suspend or terminate premium account access if we detect shared usage beyond the licensed individual or entity, or for violations of these Terms. Account access and premium tools are provided for the duration specified in your plan and may require internet connectivity to authenticate your subscription.

Ownership

You own all projects and code generated using the Software. You have complete freedom to modify, extend, and commercialize any projects created using StartAppLab.

The Software itself, including all intellectual property rights, remains the property of StartAppLab. The Software is protected by copyright, trademark, and other laws of applicable jurisdictions.

Payments and Refunds

StartAppLab is available as a one-time purchase per license. We do not offer recurring subscriptions. Payment provides immediate access to the Software according to the plan purchased.

Due to the nature of digital products, the StartAppLab Software cannot be refunded or exchanged once access to the codebase and tooling has been granted. By purchasing a license, you acknowledge that you have reviewed the Software's features and capabilities and find them acceptable for your needs.

As we continue to improve StartAppLab and expand our offerings, the price may increase. Any promotional discounts are provided to help customers secure the current price without being surprised by future increases.

You are responsible for maintaining your own infrastructure and accounts on third-party services like Vercel, Cloudflare, Supabase, Firebase, Sentry, and PostHog. Any costs associated with these services are separate from your purchase of StartAppLab.

Privacy and Data

StartAppLab does not collect or store any user data. The Software runs locally on your system and does not transmit your code or project information to our servers.

Analytics and crash monitoring tools are included as developer tools in the generated projects but must be configured by you. Any data collected through these tools is subject to the privacy policies of those respective services.

Prohibited Uses

You agree not to use the Software:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To develop, design, or produce applications intended for illegal purposes
• To attempt to decompile, reverse-engineer, disassemble, or hack the Software
• To redistribute, sublicense, or resell the Software without explicit permission
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Software

Intellectual Property

The Software and its original content, features, and functionality are and will remain the exclusive property of StartAppLab and its licensors. The Software is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of StartAppLab.

User Responsibilities

StartAppLab is not responsible for what users do with projects generated using the Software. You bear sole responsibility for the applications, websites, and services you create with the Software, including compliance with applicable laws and regulations.

You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and StartAppLab as a result of your use of the Software. You agree not to hold yourself out as a representative, agent, or employee of StartAppLab.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. StartAppLab expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

It is not warranted that StartAppLab will meet your requirements or that its operation will be uninterrupted or error free. All express and implied warranties or conditions not stated in this Agreement (including without limitation, loss of profits, loss or corruption of data, business interruption or loss of contracts), so far as such exclusion or disclaimer is permitted under the applicable law are excluded and expressly disclaimed. This Agreement does not affect your statutory rights.

StartAppLab makes no warranty that:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Software will be accurate or reliable
• The quality of any code, templates, or other material generated by the Software will meet your expectations
• Any errors in the Software will be corrected

No warranty, hosting, or uptime is included with your purchase. StartAppLab does not host or manage your deployments. You are solely responsible for the deployment, maintenance, and operation of your projects.

Limitation of Liability

IN NO EVENT SHALL STARTAPPLAB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Software
• Any third-party software or services integrated with the Software
• Any projects, applications, or code generated using the Software
• Any business decisions or actions taken in reliance on the Software or generated code

StartAppLab shall not be liable to you by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims which arise out of or in connection with the provision of the Software.

OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE. The foregoing limitations will apply whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification

You agree to defend, indemnify, and hold harmless StartAppLab, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, contractors, agents, suppliers, licensors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Software, including, but not limited to, any projects created using the Software, any use of the Software's content, services, and products other than as expressly authorized in these Terms.

Termination

We may terminate your license to use the Software immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Software will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where StartAppLab is established, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in that jurisdiction, and you hereby consent to the personal jurisdiction and venue therein.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If no such modification is possible, the provision will be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

Updates to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Software after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Software.
